Terms of Service

By accessing, downloading, installing, or using the Mosaik platform — including our website at mosaik.technology, our iOS application, our Android application, and any related APIs, services, or tools (collectively, the "Platform") — you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

Mosaik Tech DMCC ("Mosaik", "we", "us", or "our"), a Free Zone Company registered with the Dubai Multi Commodities Centre (DMCC licence no. DMCC-928621, registration no. DMCC199474), operates a fractional real estate investment platform that enables users to purchase tokenized ownership stakes ("Tokens") in Dubai properties through blockchain technology. Tokens are issued and settled through our regulated partner, Ctrl Alt DMCC, a Virtual Asset Service Provider licensed by the Virtual Assets Regulatory Authority of Dubai ("VARA") under license number VL/25/05/002.

These Terms constitute a legally binding agreement between you ("you", "your", or "User") and Mosaik. By creating an account, completing identity verification, depositing funds, purchasing Tokens, or otherwise using the Platform, you represent that you have read, understood, and agree to be bound by these Terms in their entirety.

• •"Tokens" means blockchain-based digital representations of fractional ownership in a property, issued on a distributed ledger.
• •"SPV" means a Special Purpose Vehicle, a legal entity established for the sole purpose of holding title to a specific property listed on the Platform.
• •"Trustline" means a blockchain authorization required before your wallet can hold a specific Token.
• •"Wallet" means the embedded blockchain wallet created through the Platform using multi-party computation (MPC) technology, or any future supported wallet type connected to your Mosaik account.
• •"NAV" means Net Asset Value, the fair market value of a Token as determined by the underlying property valuation.
• •"Ctrl Alt" means Ctrl Alt DMCC, our VARA-licensed partner that serves as the regulated broker-dealer and token issuer.
• •"KYC" means Know Your Customer, the mandatory identity verification process required before you can invest.
• •"AML/CFT" means Anti-Money Laundering and Combating the Financing of Terrorism regulations.
• •"VARA" means the Virtual Assets Regulatory Authority of Dubai.
• •"DLD" means the Dubai Land Department.
• •"AED" means United Arab Emirates Dirham, the official currency of the UAE.

To use the Platform and invest in tokenized properties, you must satisfy all of the following requirements:

• •Be at least 18 years of age
• •Have the legal capacity to enter into binding contracts under the laws of your jurisdiction
• •Hold a valid Emirates ID or be otherwise eligible to invest in UAE real estate under applicable law
• •Successfully complete our mandatory Know Your Customer (KYC) identity verification, including submission of government-issued identification documents and biometric liveness verification through our third-party provider, Sumsub
• •Provide accurate, complete, and current personal information including full legal name, email address, phone number, residential address, employment details, source of funds, and investment experience
• •Complete an investment suitability assessment disclosing your risk tolerance, investment goals, investment horizon, and liquidity needs
• •Declare your Politically Exposed Person (PEP) status truthfully and completely
• •Not be located in or a resident of a jurisdiction where participation in tokenized real estate investments is prohibited or restricted
• •Not appear on any sanctions lists maintained by the UAE, United Nations, European Union, United States (OFAC), or other applicable authorities
• •Not have been previously suspended, terminated, or banned from the Platform

You are solely responsible for maintaining the confidentiality of your account credentials, including your email, password, and any wallet private keys or recovery phrases. You are responsible for all activities that occur under your account. You must notify us immediately at support@mosaik.ae of any unauthorized access, security breach, or suspected compromise of your account.

We reserve the right to refuse registration, suspend, or terminate any account at our sole discretion, including for failure to complete or pass KYC verification, suspected fraudulent activity, or non-compliance with AML/CFT regulations.

Mosaik operates within the regulatory framework of the United Arab Emirates, specifically the Emirate of Dubai. Our services involve regulated activities overseen by multiple authorities:

Investor Classification: In accordance with VARA regulations, users are classified as Retail, Professional, or Qualified investors based on their financial profile. Investment limits and available products may vary based on your investor classification. We may restrict access to certain listings or investment sizes based on your classification.

Properties listed on the Platform are held through Special Purpose Vehicles (SPVs). When you purchase Tokens, you are acquiring tokenized beneficial ownership in the SPV that holds legal title to the underlying property. Tokens are issued and recorded on a distributed blockchain ledger.

Important: Tokens do not constitute direct legal ownership of real property. You hold beneficial ownership through the SPV structure. The SPV, not individual Token holders, is the registered owner of the property at DLD. Your rights as a Token holder are governed by the SPV's governing documents, these Terms, and applicable UAE law.

To hold and transact in Tokens, you must have a blockchain wallet connected to your Mosaik account. The Platform currently provides an embedded wallet:

Trustlines: Before your wallet can hold Tokens for a specific property, you must establish a "Trustline" on the blockchain for that Token. This is a one-time blockchain authorization per Token type. The Platform will guide you through this process.

When you invest through Mosaik, you agree to the following process and conditions:

• •You must first deposit AED funds into your Mosaik wallet using an approved payment method
• •Card deposits are processed through Stripe, a PCI DSS Level 1 certified payment processor. Mosaik never directly handles, stores, or has access to your full card number
• •Bank transfer deposits are also accepted and are subject to processing times of your financial institution
• •Token purchases are executed from your AED wallet balance on the Platform
• •Purchases are subject to availability and minimum/maximum investment limits per listing
• •Once a purchase order is confirmed and payment received, the Token issuance process begins: payment confirmation, Token minting on the blockchain, Trustline verification, and Token transfer to your wallet
• •Orders progress through defined stages: Pending, Payment Confirmed, Tokens Minting, Tokens Transferred, Completed. You can track your order status in the app
• •All sales of Tokens on the primary market are final once the order reaches Completed status
• •Platform transaction fees and any applicable market maker spreads are disclosed before you confirm a purchase

The Platform provides a secondary market where verified users can buy and sell Tokens through a peer-to-peer (P2P) order book system:

The following fees may apply to your use of the Platform:

All applicable fees are disclosed transparently before you confirm any transaction. Mosaik reserves the right to modify its fee schedule with 30 days' prior written notice to users. Third-party fees (Stripe processing fees, bank charges, blockchain network fees) are set by those respective parties and are outside our control.

As a Token holder, you are entitled to receive proportional distributions of net rental income generated by the underlying property, subject to the following:

• •Rental income is collected by the property manager and distributed to Token holders proportionally after deduction of property management fees, maintenance costs, service charges, insurance, and other property-related expenses
• •Distributions are made to your Mosaik wallet balance in AED
• •Distribution frequency and amounts may vary based on property performance, occupancy rates, and operating expenses
• •Rental income is not guaranteed. Properties may experience vacancy periods, tenant defaults, or reduced rental rates
• •Mosaik and Ctrl Alt do not guarantee any specific rate of return, yield, or distribution amount
• •Historical or projected yields displayed on the Platform are estimates only and do not constitute a promise or guarantee of future performance

The Platform includes artificial intelligence (AI) features powered by third-party large language models. These features include:

• •Mosaik AI Chat: a conversational assistant that can answer questions about properties, market trends, and your portfolio
• •AI Property Discovery: natural language search to find properties matching your criteria
• •AI Market Pulse: AI-generated market sentiment analysis and property insights

Investing in tokenized real estate involves significant risks. Before investing, you should carefully consider all of the following risk factors. This is not an exhaustive list. By using the Platform and purchasing Tokens, you acknowledge and accept these risks:

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS. YOU SHOULD ONLY INVEST AMOUNTS YOU CAN AFFORD TO LOSE ENTIRELY. YOU SHOULD SEEK INDEPENDENT FINANCIAL, LEGAL, AND TAX ADVICE BEFORE MAKING ANY INVESTMENT DECISION.

You agree not to engage in any of the following prohibited activities:

• •Using the Platform for money laundering, terrorist financing, sanctions evasion, tax evasion, or any other illegal purpose
• •Providing false, misleading, or inaccurate information during registration, KYC, or at any time during your use of the Platform
• •Creating multiple accounts, or creating accounts on behalf of others without proper authorization
• •Market manipulation, including wash trading, spoofing, layering, front-running, or coordinated trading to artificially influence Token prices
• •Using bots, scripts, automated tools, or other non-human means to access the Platform without our prior written consent
• •Attempting to gain unauthorized access to other users' accounts, wallets, or personal data
• •Exploiting vulnerabilities, bugs, or errors in the Platform software for personal gain
• •Circumventing or attempting to circumvent any security, authentication, or access control measures
• •Interfering with or disrupting the Platform's infrastructure, servers, or networks
• •Using the Platform to distribute malware, viruses, or other harmful code
• •Scraping, data mining, or extracting data from the Platform without authorization
• •Using the Platform in any way that violates applicable laws or regulations in your jurisdiction

Violation of these prohibitions may result in immediate suspension or termination of your account, forfeiture of any pending transactions, and referral to relevant regulatory or law enforcement authorities. Mosaik reserves the right to cooperate with law enforcement investigations and to disclose information as required by law.

The Platform, including all content, features, functionality, software, source code, user interface design, graphics, logos, trademarks, and documentation, is owned by Mosaik Tech DMCC and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial investment purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Platform without our prior written consent, except as incidentally necessary for your personal use of the Platform.

The "Mosaik" name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Mosaik Tech DMCC You may not use such marks without our prior written permission.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

MOSAIK DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED; OR (D) THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

MOSAIK IS NOT A FINANCIAL ADVISOR, BROKER-DEALER (EXCEPT THROUGH CTRL ALT), INVESTMENT ADVISOR, OR TAX ADVISOR. NOTHING ON THE PLATFORM CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR ANY OTHER SORT OF PROFESSIONAL ADVICE. YOU SHOULD CONSULT YOUR OWN FINANCIAL, LEGAL, AND TAX ADVISORS BEFORE MAKING ANY INVESTMENT DECISION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOSAIK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, REGARDLESS OF WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL FEES PAID BY YOU TO MOSAIK IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) AED 10,000.

THE FOREGOING LIMITATIONS APPLY EVEN IF MOSAIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Mosaik Tech DMCC, Ctrl Alt DMCC, and their respective directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• •Your use of or inability to use the Platform
• •Your violation of these Terms or any applicable law or regulation
• •Your provision of false, misleading, or inaccurate information
• •Your infringement of any third-party rights, including intellectual property rights
• •Any unauthorized access to or use of your account resulting from your failure to maintain the security of your credentials
• •Any tax liability arising from your investments through the Platform

Termination by You: You may request closure of your account at any time by contacting support@mosaik.ae. Before closing your account, you must sell or transfer all Tokens held in your wallet and withdraw any remaining AED balance. Account closure does not release you from any outstanding obligations, fees, or pending transactions.

Suspension or Termination by Mosaik: We may suspend or terminate your access to the Platform immediately and without prior notice if:

• •You breach any provision of these Terms
• •You fail to complete or pass KYC verification, or your KYC status is revoked
• •We have reasonable grounds to suspect fraudulent, illegal, or unauthorized activity
• •We are required to do so by law, regulation, court order, or regulatory directive
• •We determine that your continued access poses a risk to the Platform, other users, or our compliance obligations
• •Your account triggers AML/CFT alerts or suspicious activity indicators
• •You are placed on any applicable sanctions list

Effect of Termination: Upon account termination, your Tokens remain on the blockchain and are accessible through your wallet (if you have your private keys). However, platform services including portfolio management, distribution processing, secondary market access, and AI features will no longer be available. We may retain your data as required by AML/CFT and regulatory retention obligations.

Informal Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform, you agree to first contact us at legal@mosaik.ae to attempt to resolve the dispute informally. We will endeavor to resolve your concern within 30 days of receiving your written notice.

Arbitration: If the dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by binding arbitration administered by the Dubai International Arbitration Centre (DIAC) in accordance with the DIAC Arbitration Rules then in effect. The seat and venue of arbitration shall be Dubai, United Arab Emirates. The language of arbitration shall be English. The arbitral tribunal shall consist of a sole arbitrator appointed in accordance with DIAC Rules. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND MOSAIK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law principles. To the extent not subject to arbitration as provided above, you submit to the exclusive jurisdiction of the courts of Dubai for resolution of any disputes.

By using the Platform, you consent to receiving electronic communications from Mosaik, including emails, push notifications, in-app messages, and SMS messages. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Transactional communications — including order confirmations, payment receipts, Token transfer notifications, distribution payments, KYC status updates, and security alerts — are essential to the operation of your account and cannot be fully opted out of while your account remains active. You may manage notification preferences within the app settings.

Mosaik shall not be liable for any failure or delay in performing any obligation under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, cyber-attacks, blockchain network failures, internet outages, power failures, changes in law or regulation, or third-party service provider outages (including Supabase, Stripe, blockchain networks, or Ctrl Alt).

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Platform, updating the "Last updated" date, and sending a notification via email or push notification at least 30 days before the changes take effect.

Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must discontinue use of the Platform. However, your existing Token ownership and property rights remain subject to the terms in effect at the time of purchase and the SPV governing documents.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement: These Terms, together with the Privacy Policy and any applicable SPV governing documents, constitute the entire agreement between you and Mosaik regarding your use of the Platform and supersede all prior agreements, understandings, and representations.

Waiver: The failure of Mosaik to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Mosaik.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Mosaik may assign its rights and obligations under these Terms at any time without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Third-Party Beneficiaries: Ctrl Alt DMCC is an intended third-party beneficiary of these Terms to the extent these Terms relate to their services. Except as expressly provided, these Terms do not create any rights for any third party.
